TotalEnergies has signed a Sale and Purchase Agreement (SPA) with HitecVision, a Norwegian investment firm focused on the energy sector, for the sale of a 50% stake in Polska Grupa Biogazowa (PGB). The transaction reflects an enterprise value of €190 million.
PGB is the leading biogas producer in Poland, operating 20 facilities with a combined production capacity exceeding 450 GWh of biomethane equivalent. Founded in 2007 and acquired by TotalEnergies in 2023, the company specializes in biogas-based electricity and heat generation through cogeneration (CHP) systems. PGB currently has two additional plants under construction and plans to expand into biomethane production, targeting a capacity of 2 TWh by 2030.
“We are pleased to welcome HitecVision as our partner in biogas production in Poland. This transaction supports PGB's continued growth in a fast-developing biogas market and aligns with our strategy of partially divesting renewable assets to enhance investment returns,” said Stéphane Michel, President of Gas, Renewables & Power at TotalEnergies.
“Biogas and biomethane are key components of HitecVision's New Energy Program. Poland offers a strong platform for profitable growth while advancing decarbonization efforts in both Poland and the EU. TotalEnergies has a solid industrial presence in the country, and our complementary capabilities will be instrumental in scaling up PGB through both greenfield developments and acquisitions,” said Erlend Ellingsen, CEO and Managing Partner of HitecVision.
The transaction is subject to customary governmental and regulatory approvals.
